According to the docket, on January 16, 2003, U.S. District Judge B. Lynn Winmill issued an Order granting the motion for order approving distribution of the net settlement fund to the class. Earlier, on October 3, 2002, Judge B. Lynn Winmill preliminarily approved the proposed settlement. Then, on November 21, 2002, the Court entered the Order and Final Judgment granting the motion for final approval of the class action settlement and dismissing the case.

The complaint charges that defendants ICF Kaiser International, Inc., and certain of its current and former officers and directors violated the federal securities laws through false and misleading statements in a private placement memorandum issued in connection with the merger. Plaintiff also alleges a breach of contract claim by ICF Kaiser and one of its subsidiaries. The class action was filed on behalf of a class of all former shareholders of ICT Spectrum Constructors, Inc. who received shares of ICF Kaiser International, Inc. in connection with a stock-for-stock merger.
