According to the docket, on March 28 and March 29, 2001, a Stipulation and Agreement of Partial Settlement and a Stipulation and Agreement of Settlement were respectively filed. By the Stipulation and Agreement of Partial Settlement, a settlement fund was established in the amount of $670,000 as to one of the Individual Defendants, and by the Stipulation and Agreement of Settlement, a settlement fund was established in the amount of $1,100,000 as to defendant Unistar Financial and certain Individual Defendants. On April 20, 2001, the Court entered the Order awarding plaintiffs’ counsel attorneys' fees of 30% of the Gross Settlement Fund and reimbursement of litigation expenses in the amount of $69,331.39. The Court also approved the plan of allocation. The Court further entered the Final Judgment and Order of Dismissal with Prejudice by U.S. District Judge Barbara M. G. Lynn dismissing the action with prejudice and the case was closed.

The lawsuit charges Unistar and certain of its officers and directors with violations of the securities laws and regulations of the United States. The Complaint alleges that defendants issued a series of false and misleading statements concerning the Company's financial results and the improper valuation of its customer list during the Class Period. The Complaint alleges that defendants' dissemination of false and misleading statements concerning the Company caused the Company's stock price to be artificially inflated during the Class Period.
