DST Systems ("DST") provides information processing and computer software services and products to financial services and healthcare services companies.

On January 11, 2018, DST Systems and SS&C Technologies, Inc. ("SS&C") issued a press release announcing the Proposed Merger, wherein SS&C will acquire DST.

The Complaint alleges that on February 7, 2018, in order to convince DST Systems shareholders to vote in favor of the Proposed Merger, the Board authorized the filing of a materially incomplete and misleading preliminary Proxy Statement with the Securities and Exchange Commission, in violation of Sections 14(a) and 20(a) of the Exchange Act.

This case was voluntarily dismissed on August 28. 2019.
