According to the Complaint, CenterState Bank Corporation operates as one of the leading Southeastern regional bank franchises.

This action stems from a proposed transaction announced on January 27, 2020 , pursuant to which CenterState Bank Corporation will be acquired by South State Corporation.

On January 25, 2020, CenterState’s Board of Directors caused the Company to enter into an agreement and plan of merger with South State. Pursuant to the terms of the Merger Agreement, CenterState’s stockholders will receive 0.3001 shares of South State common stock for each share of CenterState common stock they own.

On March 16, 2020, Defendants filed a Form S-4 Registration Statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges that the Registration Statement omits material information with respect to the Proposed Transaction, which renders the Registration Statement false and misleading.

This case was voluntarily dismissed on May 21, 2020.
