A. Serrano. After hearing, the motion to dismiss is DENIED by the court in an
oral ruling. The court notes that the PSLRA does not alter the standard to be
applied on a motion to dismiss; while a plaintiff must show a strong
inference of scienter, all inferences are
nonetheless drawn in plaintiff's favor. Aldridge v. A.T. Cross Corp., 284
F.3d 72, 78 (1st Cir. 2002). The court finds that as pled, defendants' public
disclosures of ongoing litigation were not predictions, but were
misrepresentations concealing adverse facts then known to defendants. In re
Credit Suisse First Boston Corp., 431 F.3d 36, 47 (1st Cir. 2005). The court
further notes the impact of Tellabs, Inc. v. Makor
Issues & Rights, Ltd., 551 U.S. 308 (2007), on the import of equally
compelling inferences. The court finds all other elements of a Section 10(b)
and Rule 10b-5 action to be adequately pled. Dura Pharm., Inc. v. Broudo, 544 U.S. 336 (2005). Finally, the court notes
that scienter need not be pled under the rigorous
standards of the PSLRA to state a claim under Section 20(a). In re Stone
& Webster, Inc. Sec. Litig., 414 F.3d 187, 194
(1st Cir. 2005). The parties shall file a joint proposed discovery order
