ORDER
PRELIMINARILY APPROVING SETTLEMENT AND PROVIDING FOR NOTICE, that the Court
does hereby preliminarily approve the Stipulation and the Settlement set forth
therein, including the releases contained therein, as being fair, reasonable
and adequate as to the Class Members, subject to further consideration at the
Settlement Hearing described below. A hearing (the "Settlement
Hearing") shall be held before this Court on October 16, 2009, at 4:30
pm, in Courtroom 15C of the United States District court of the Southern
District of New York, 500 Pearl Street, New York, NY 10017, to determine
whether the proposed Settlement on the terms and conditions provided for in
the Stipulation is fair, reasonable and adequate as to the Class and should
be approved by the Court; whether an Order and Final Judgment, substantially
in the form of Exhibit B to the Stipulation, should be entered herein;
whether the proposed Plan of Allocation should be approved; and to determine
the amount of fees and expenses that should be awarded to Lead Plaintiff's
counsel. The Court may adjourn the Settlement Hearing without further notice
to members of the Class. Additional relief as set forth in this Order.

ORDER:
The Court has reviewed the substantive terms of the settlement and finds that
this settlement is fair, reasonable and adequate. The Plan of Allocation
provides that each Authorized Claimant with a valid recognized claim will
receive no less than $10. Depending on the size of the class, an Authorized
Claimant may received up to $11.71 per damaged share, which appears to be a
