TO DEFENDANTS' MOTION TO DISMISS THE
CONSOLIDATED AMENDED COMPLAINT
Pursuant to Local Rule 7-3(e), plaintiffs respectfully submit the following supplemental authorities in support of their Opposition to Defendants' Motion to Dismiss ("Opposition Brief").
1. On November 3, 1998, President Clinton signed into law the Securities Litigation Uniform Standards Act of 1998 ("Uniform Standards Act"). A copy of House Conference Report No. 105-803 (1998) is attached hereto as Exhibit A and President Clinton's November 3, 1998 Statement concerning the Uniform Standards Act is attached hereto as Exhibit B. As these documents indicate, the legislative history of the Uniform Standards Act directly addresses the pleading standards under the Private Securities Litigation Reform Act of 1995 relating to scienter.(1) See Conference Report at 15; Statement by the President at 2.
2. On November 17, 1998, the Securities and Exchange Commission ("SEC"), submitted its Supplemental Memorandum as amicus curiae in the appeal pending before the Ninth Circuit in In re Silicon Graphics Sec. Litig., No. 97-16240. A copy of the SEC's Supplemental Memorandum is attached hereto as Exhibit C.
3. Plaintiffs also submit the recent decisions in Robertson v. Strassner, [Current Binder] Fed. Sec. L. Rep. (CCH) ¶90,303 (S.D. Tex. 1998), attached hereto as Exhibit D, In re Employee Solutions Sec. Litig., [Current Binder] Fed. Sec. L. Rep. (CCH) ¶90,293 (D. Ariz. 1998), attached hereto as Exhibit E, and In re First Merchants Acceptance Corp. Sec. Litig., No. 97 C 2715, 1998 U.S. Dist. LEXIS 17760 (N.D. Ill. Nov. 2, 1998), attached hereto as Exhibit F. Robertson supports plaintiffs' arguments presented in their Opposition Brief at 8-9, 14-15, 15-18. Employee Solutions supports plaintiffs' arguments presented in their Opposition Brief at 8, 11, 14, 18-19, 21-22.
