NOTICE OF RELATED CASE
[filed Feb. 24, 2000]

Pursuant to Local Rule 3-12 of the United States District Court, Northern District of California, defendants Indus International, Inc., Joan P. Platt, Anna Ng-Borden, and Philip C. Mezey submit the following notice of related case.

1. Both Cancemi v. Indus International, Inc. et al., No. C-00-0392-JCS; and the subsequently filed case, Adams v. Indus International, Inc. et al., No. C-00-0436-EDL; are purported shareholder securities class actions subject to the Private Securities Litigation Reform Act of 1995. The cases involve substantially similar allegations of fact and causes of action against Indus International, Inc., and certain of its former officers and directors. Therefore, assignment of the cases to a single judge is likely to conserve judicial resources and promote an efficient determination of the action, and will preclude potential conflicting judicial rulings.

3. Accordingly, defendants request the Court to order that Adams v. Indus International, Inc. et al., No. C-00-0436-EDL; is related to the first filed case, Cancemi v. Indus International, Inc. et al., No. C-00-0392-JCS, and is reassigned and transferred to the Court assigned to Cancemi v. Indus International, Inc. et al., No. C-00-0392-JCS.
