SUMMARY NOTICE OF
PENDENCY OF CLASS
ACTION

YOU ARE HEREBY NOTIFIED pursuant to Rule 23 of the Federal Rules of Civil Procedure that you may be a member of the plaintiff class in a class action lawsuit. The lawsuit is entitled Copperstone v. TCSI Corporation, No. C 97-3495 (SBA) and is pending in the United States District Court for the Northern District of California, Oakland Division. The lawsuit has been filed on behalf of purchasers of the common stock of TCSI Corporation ("TCSI") during the period October 11, 1995 through September 25, 1996 (the "Class Period").

Plaintiffs allege that the defendants (TCSI and certain of TCSI's current and former officers and directors) violated the federal securities laws. The defendants deny any wrongdoing and deny that they are responsible for any losses allegedly incurred by the class. The Court has not ruled on the merits of the claims or defenses asserted in this action.

The Court has determined that this federal action may proceed as a class action. The Plaintiff Class includes:

All persons who purchased common stock of TCSI Corporation during the period October 11, 1995 through September 25, 1996, inclusive and who suffered damages thereby. Excluded from the Plaintiff Class are defendants, members of the individual defendants' families, and any entity in which any defendant has a controlling interest.

This Notice is not an expression of any opinion by the Court with respect to the merits of the claims or the defenses assertion in the lawsuit. This Notice is solely to advise you that this action is pending and that you have certain rights if you are a class member.

If you wish to be included in the Plaintiff Class, you do not need to take any action. As a class member, the judgment in this action, whether favorable or not, will apply to your claims and will be binding upon you if you do not request in writing to be excluded from the Plaintiff Class. You may be requested at a later date to supply certain information about your claim. You may, if you desire, enter an appearance in this action through your own counsel at your own expense.

If you do not wish to be included in the Plaintiff Class, the Court will exclude you. You must mail a written request for exclusion that states your name, your address, and that you wish to be excluded from the Plaintiff Class. Mail your request for exclusion on or before ____________, to: Copperstone v. TCSI Corporation, c/o Gilardi & Co., P.O. Box 5100, Larkspur, CA 94977- 5100. If you request exclusion from the Plaintiff Class: (a) you will not share in any amounts received by the class, whether through a settlement or a judgment; and (b) you will not be bound by any judgment for or against the Plaintiff Class.

If you have not received a detailed printed notice, you may receive one free of charge by requesting one in writing, addressed to Copperstone v. TCSI Corporation, c/o Gilardi & Co., P.O. Box 5100, Larkspur, CA 94977-5100. Banks, brokerage firms, institutions and other persons that are nominees who purchased TCSI common stock for the beneficial interest of other persons during the period October 11, 1995 through September 25, 1996, inclusive, are requested within ten (10) days receipt of this notice to provide Gilardi & Co., at the address set forth above, with the names and addresses of such beneficial owners, or to obtain additional postage-prepaid copies of the notice for forwarding to such beneficial owners. Reasonable costs incurred by nominees will be reimbursed.

Please do not write or contact the Clerk of the Court. The Clerk cannot answer questions about the merits of this action.
